Most companies incorporated after 2006, have been incorporated with the Model Articles – these are the standard default articles of association – the rules by which the company is run.
However, one size does not fit all and the Model Articles may not actually be what your company needs. For example the Model Articles only allow for the company to operate with two directors. They also contain quite detailed conflict of interest authorisation provisions which may not work in practice if you only have one or two directors.
It is important that your company’s articles of association allow you to operate the company properly and are suited to the company’s set up and purpose.
